1. Acceptance of Terms

By accessing or using this website (including the gateway Homepage), navigating through our distinct divisions, submitting an enquiry, downloading content, or engaging with OneRow Advisors in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must immediately cease referencing this website.

2. Nature of Services

OneRow operates across multiple professional domains, strictly offering the following services:
  • Custom software development, web and mobile application design, UI/UX consulting, and enterprise digital transformation via its IT Services division.
  • Real estate investment advisory and deal structuring support.
  • Buyer and seller advisory representation.
  • Market assessment, feasibility inputs, and transaction coordination.
  • Strategic, sales, and marketing consulting for businesses.

OneRow is not a real estate broker, developer, lender, valuer, legal advisor, or financial intermediary regarding its Real Estate division, unless explicitly stated in a written engagement. Real estate-related inputs are indicative, advisory, and non-binding. Clients are solely responsible for conducting legal, technical, financial, and tax due diligence.

3. IT Project Delivery & Intellectual Property (IP)

  • Timelines: Timelines provided for software and IT projects are estimates. Successful and timely delivery heavily depends on client responsiveness, timely provision of required assets (content, brand guidelines), and necessary third-party integrations.
  • Intellectual Property Rights: All code, custom designs, wireframes, and digital assets developed by OneRow remain the exclusive property of OneRow until full and final payment is received from the client. Upon receipt of all due compensation, the specific IP rights outlined in the Scope of Work (SoW) are officially transferred to the client.
  • Post-Launch Support: Any support, bug fixes, or maintenance requested post-handover or beyond the documented warranty period are entirely separate from the initial build and must be covered by an Annual Maintenance Contract (AMC) or separate Service Level Agreement (SLA).

4. Real Estate Investment Risk Disclosure

To the extent that your engagement involves real estate or strategic investments, you acknowledge the following risks:
  • Market fluctuations and price volatility.
  • Regulatory changes, zoning shifts, and approval uncertainties.
  • Construction delays, title risks, and force majeure events.
  • Liquidity constraints and exit risks.
OneRow shall not be responsible for project delays, pricing variations, developer performance, or external factors beyond our control. Any decision to invest or transact is taken entirely at the client’s discretion and risk.

5. No Solicitation & No Offer

Nothing on this website shall be construed as:
  • A public solicitation.
  • An offer to sell or a recommendation to buy any property or investment.
  • An inducement under any securities, real estate, or investment laws.

6. Engagement, Fees & Commercial Terms

  • All engagements (whether IT Services or Real Estate) are governed by a separate written proposal, engagement letter, or SLA.
  • Website interactions, meetings, calls, or preliminary technical consultations do not constitute a binding engagement.
  • Fees may be structured as retainers, advisory fees, success fees, development milestone payments, or referral/facilitation fees as agreed upon in writing.

7. Success Fee & Referral Fee Clause

OneRow operates heavily on trust and strategic introductions across all divisions:
  • A success or referral fee entitlement applies to the purchase, sale, lease, joint development, monetization of a property, OR the successful signing of an IT/Software Development contract resulting from OneRow’s introduction.
  • Success and referral fees shall apply irrespective of whether OneRow is actively involved until final closure, provided the transaction (Real Estate or IT) results from OneRow’s introduction, advisory input, or strategic facilitation.
  • Circumvention of OneRow—directly or indirectly—shall not invalidate the success fee entitlement.
  • Fees become due immediately upon execution of the relevant transaction document, development contract, or receipt of consideration, whichever is earlier.

8. No Circumvention

Clients and visitors agree not to circumvent OneRow by:
  • Engaging directly with parties, stakeholders, properties, or IT vendors originally introduced by OneRow.
  • Re-routing transactions or software development contracts through related entities or associates.
  • Delaying transactions to evade success fee obligations.

9. Limitation of Liability

To the maximum extent permitted by law, OneRow shall not be liable for any direct, indirect, incidental, or consequential damages resulting from:
  • Investment losses, opportunity costs, or failure to secure anticipated real estate yields.
  • Acts or omissions of developers, sellers, buyers, authorities, or third parties.
  • Data loss during server migrations, cybersecurity breaches beyond our immediate infrastructure, and compatibility breakdowns due to future OS integrations.
  • Regulatory or approval failures.

10. Confidentiality & NDAs

  • Property details, pricing, structures, proprietary software architectures, and counterparties may be highly confidential.
  • Case studies featured on the website may be anonymized due to Non-Disclosure Agreements (NDAs).
  • Detailed confidentiality obligations for all projects shall be governed by separate NDAs prior to the exchange of sensitive information.

11. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms, the use of the website, or preliminary engagements shall be subject to the exclusive jurisdiction of the competent courts in Jaipur, Rajasthan, India.
